These Terms constitute a legally binding agreement between you and TechFrontier Solutions ("we," "us," or "our").

TechFrontier Solutions provides technology consulting services including but not limited to:
- Cloud infrastructure consulting and migration

- Cybersecurity assessments and compliance services
- AI and automation implementation
- IT strategy and digital transformation consulting
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice.
3. Client Responsibilities
As a client of TechFrontier Solutions, you agree to:
- Provide accurate, complete, and current information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
- Cooperate fully with our team during project delivery
- Provide necessary access to systems, data, and personnel
- Pay all fees and charges when due
- Comply with all applicable laws and regulations
- Respect intellectual property rights
4. Fees and Payment
4.1 Pricing
All fees for our Services will be quoted in writing prior to project commencement. Pricing may be based on:
- Fixed project fees
- Hourly or daily consulting rates
- Monthly retainer agreements
- Milestone-based payments
4.2 Payment Terms
- Payment is due within 30 days of invoice date
- Late payments may incur interest at 1.5% per month (18% annual percentage rate)
- We reserve the right to suspend services for overdue payments
- All prices are in USD unless otherwise specified
4.3 Expenses
Client is responsible for reasonable out-of-pocket expenses including travel, accommodation, and third-party software licenses, unless otherwise agreed in writing.
5. Intellectual Property
5.1 Your Content
You retain all rights to data, materials, and information you provide to us ("Your Content"). You grant us a license to use Your Content solely to provide the Services to you.
5.2 Our Intellectual Property
All materials, tools, methodologies, frameworks, and intellectual property developed by TechFrontier Solutions during the engagement ("Deliverables") are subject to the project agreement. Generally:
- Custom code and solutions: Your property (full license)
- Reusable frameworks and tools: Our property (license to use granted)
- Proprietary methodologies: Our confidential information
- Third-party software: Subject to their respective licenses
5.3 Pre-existing Materials
TechFrontier Solutions retains all rights to our pre-existing intellectual property, including methodologies, frameworks, code libraries, and tools. You receive a non-exclusive, non-transferable license to use these materials as part of the Services.
6. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement, including:
- Business strategies, financial information, and trade secrets
- Technical information, source code, and system architectures
- Customer data, pricing, and marketing plans
- Any information marked as "confidential"
Confidentiality obligations survive termination of these Terms for 3 years.
7. Warranty and Disclaimer
7.1 Services Warranty
We warrant that Services will be performed in a professional manner consistent with industry standards. We will correct material defects at no additional cost.
7.2 Disclaimer
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SEPARATE WRITTEN AGREEMENT, WE PROVIDE SERVICES "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- UNINTERRUPTED OR ERROR-FREE OPERATION
7.3 No Guarantee of Results
While we strive to deliver exceptional results, we cannot guarantee specific business outcomes, including cost savings, revenue increases, or performance improvements. Many factors beyond our control may affect results.
8. Limitation of Liability

Please read this section carefully as it limits our liability.
8.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
8.2 Exclusion of Damages
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits or revenue
- Loss of data or business opportunities
- Downtime or system unavailability
- Damage to reputation or goodwill
9. Term and Termination
9.1 Term
These Terms remain in effect while you use our Services. Project-specific agreements continue until project completion and any warranty period expires.
9.2 Termination by Client
You may terminate project engagement at any time with written notice. You will be responsible for:
- All services performed up to termination date
- Out-of-pocket expenses incurred
- Cancellation fees if applicable (see project agreement)
9.3 Termination by TechFrontier
We may terminate or suspend your access to Services immediately if you:
- Breach these Terms
- Engage in fraudulent or illegal activities
- Fail to pay fees when due
- Violate any laws or regulations
10. Indemnification
You agree to indemnify, defend, and hold harmless TechFrontier Solutions and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or materials
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
11.2 Arbitration
Any dispute arising from these Terms will be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. Each party bears its own attorneys' fees.
11.3 Exception
Either party may seek equitable relief in court for intellectual property infringement or breach of confidentiality.
12. General Provisions
12.1 Entire Agreement
These Terms constitute the entire agreement between you and TechFrontier Solutions regarding the Services, superseding any prior agreements or communications.
12.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
12.3 Waiver
Failure to enforce any provision does not constitute a waiver of such provision or any other provision.
12.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms freely.
13. Amendments
We may update these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending you an email notification
- Updating the "Last updated" date
Continued use of Services after changes constitutes acceptance of the updated Terms.
